Shareholders wishing to participate in the Meeting shall be included in the share register kept by Euroclear Sweden AB (“VPC) and report their participation no later than Wednesday December 11, 2019.
Registration should be made by phone +371 29203972, by email, [email protected], or in writing to Latvian Forest Company AB, Ringvägen 22, 182 46 Enebyberg, Sweden. The notification requires name, personal/corporate identity number, address and telephone number, shareholding and any assistants. If shareholders intend to be represented by representatives, power of attorney and other documents of jurisdiction should be granted notification.
Shareholders who have allowed trustees to register their shares must, in order to have the right to participate in the Meeting, have temporarily registered the shares in their own name latest December 10, 2019. Shareholders wishing such re-registration must inform the administrator in good time before December 10, 2019.
Proxy forms are available to download via www.latvianforest.lv and will be sent out to shareholders who so request and provide their postal address.

Election of Chairman at the Meeting.

Point 6
The Board of Directors proposes that the Annual General Meeting decide to approve the preliminary settlement reached with LFC’s former Chairman of the Board, Ted Alvenius. In conclusion, the settlement means that Ted Alvenius release his claims against LFC of just over EUR 464,000, together with interest, in respect of alleged entitlement under bonus agreements, against LFC paying to his individual firm 2.500.000 SEK excl. Vat.
Point 7
The Board of Directors proposes that the Annual General Meeting resolves to amend the articles of association’s business description.
Proposed activity description:
The company shall carry out purchase and sale of land, preferably but not exclusively in Latvia. The company shall, directly or indirectly, carry out forestry operations including the granting of rights to the assets, marketing and sale of products derived from those assets. Furthermore, the company shall carry out the sale of consultancy services in respect of the above-mentioned industry, own and manage properties and carry out compatible activities. The company shall own and manage shares and other share certificates in industrial enterprises, operate industrial and commercial operations, preferably extensive forestry and forest industry, and other similar activities.
It is proposed to authorize the Board of Directors, the President, or others appointed by them, in order to make the minor adjustments in the meeting’s decisions that may prove necessary in connection with the registration of the decision at The Swedish Companies Registration Office.
Point 8
The Board of Directors proposes that the Annual General Meeting decide to relabel 80,000 Class A shares into Class B shares. The share capital shall amount to EUR 2,297,307,432830 divided into 20,511,061 shares.
It is proposed to authorize the Board of Directors, the President, or others appointed by them, in order to make the minor adjustments in the meeting’s decisions that may prove necessary in connection with the registration of the decision at The Swedish Companies Registration Office.

Full decision-making documents will be available at Latvian Forest Company AB, Ringvägen 22, 182 46 Enebyberg, and on the website, www.latvianforest.lv, no later than two weeks before the Annual General Meeting. Copies of the documents will be sent to shareholders who request it and provide their postal address. Shareholders are reminded of their right to request information under Chapter 7, Section 32 of the Companies Act.
